John was a partner for many years in the corporate and commercial department of one of Australia’s largest law firms.

John has extensive experience across a range of commercial transactions.  These include sales and purchases of businesses, shareholder and unitholder agreements, trust deeds, distribution agreements, financing transactions and business reorganisations.

John acts for both international and domestic clients in cross-boarder transactions, having acted for a number of foreign entities establishing operations in Australia, and providing advice on international tax treaties and transactions.

John also provides advice on a variety of compliance issues, including corporate, taxation, Australian Securities Exchange, competition law and contracts.  Advice on various taxation issues, including company tax, consolidation, taxing of trusts, GST, FBT and NSW state taxes are also part of his expertise.

 

John is a Public Notary and a Fellow of the Tax Institute of Australia.

Relevant Experience

  • Advising an international airline on its operations in Australia for over 20 years. This has included Australia’s international aviation regulations, corporate compliance, competition law, insourcing local operations, code sharing and wet leasing.

  • Acting on a merger of 2 businesses operating in the training industry in several countries with shareholders and operations in several countries, and the subsequent sale of the corporate group.

  • Acting on the sale of the Australian operations as part of the global sale of several business units for various global companies in the telecommunications, engineering and health industries.

  • Acting on the sale of and purchase of manufacturing, distribution and professional services businesses, including several accountancy firms.

  • Documenting logistic contracts for a major Australian logistics business.

  • Establishing and reorganising company and trust structures.

  • Acting on the sale of one of the largest Australian thoroughbred studs.
